1. Acceptance of Terms

By accessing, browsing, or using the RepairTrak platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Service.

Important: These Terms constitute a legally binding agreement between you and RepairTrak LLC. By creating an account or using our services, you are entering into this agreement.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content. The Service is owned and operated by RepairTrak LLC, a Nevada limited liability company.

2. Service Description

RepairTrak is a comprehensive auto repair tracking and communication platform that enables auto repair shops to:

  • Track vehicle repair status in real-time across multiple stages
  • Communicate with customers through automated notifications, live comments, and voice messages
  • Share photos and videos of repair work with customers
  • Create and manage digital repair recommendations and estimates
  • Process invoices and integrate with external payment systems
  • Manage multiple shop locations and user roles
  • Store and organize repair history and customer communications

The Service includes both web-based applications and mobile applications, providing access across multiple devices and platforms.

Service Availability: While we strive to provide continuous service availability, RepairTrak may occasionally be unavailable due to maintenance, updates, or circumstances beyond our control. We will provide advance notice when possible.

3. User Eligibility

To use RepairTrak, you must meet the following eligibility requirements:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal authority to enter into binding agreements
  • Operate a legitimate auto repair business or be an authorized representative
  • Provide accurate and complete information during registration
  • Not be prohibited from using the Service under applicable laws
  • Not have been previously suspended or banned from using RepairTrak

Business Verification: RepairTrak is designed specifically for legitimate auto repair businesses. We reserve the right to verify business credentials and may require additional documentation to confirm eligibility.

By using the Service, you represent and warrant that you meet all eligibility requirements and that all information you provide is accurate, current, and complete.

4. User Accounts

4.1 Account Creation

To access RepairTrak's features, you must create an account by providing:

  • Valid business name and contact information
  • Primary contact person details
  • Business address and phone number
  • Email address for account communications
  • Secure password meeting our requirements

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Use strong passwords and update them regularly
  • Log out of your account when using shared or public computers
  • Monitor your account for suspicious activity

4.3 Account Information

You must ensure that all account information remains accurate and up-to-date. This includes business information, contact details, and billing information. Failure to maintain accurate information may result in service interruption or account suspension.

Multiple Users: Your account may support multiple users with different permission levels. You are responsible for managing user access and ensuring all users comply with these Terms.

5. Subscription & Billing

5.1 Subscription Plans

RepairTrak offers multiple subscription plans:

  • Basic Plan: Free plan with limited features (up to 25 status reports per month)
  • Premium Plan: $99/month or $950/year (up to 100 status reports per month)
  • Pro Plan: $240/month or $2,300/year (up to 300 status reports per month)
  • Enterprise Plan: Custom pricing for high-volume users

5.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Payment is due immediately upon subscription and on each renewal date thereafter.

  • All payments are processed through secure third-party payment processors
  • We accept major credit cards and ACH payments
  • Subscription fees are non-refundable except as required by law
  • Failed payments may result in service suspension or termination
  • You authorize us to charge your payment method for all applicable fees

5.3 Usage Limits and Overage

Each plan includes specific usage limits for status reports. If you exceed your plan's limits:

  • Additional status reports may be charged at published overage rates
  • We may recommend upgrading to a higher-tier plan
  • Service may be temporarily limited until usage returns to plan limits

5.4 Price Changes

We reserve the right to change our pricing at any time. Price changes will be communicated with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Grandfathered Pricing: Existing subscribers may be eligible for grandfathered pricing on their current plan level, subject to continued subscription without interruption.

6. Acceptable Use Policy

6.1 Permitted Uses

You may use RepairTrak solely for legitimate auto repair business purposes, including:

  • Tracking and communicating about vehicle repairs with customers
  • Managing repair workflows and documentation
  • Creating and sharing repair estimates and invoices
  • Storing customer communication and repair history

6.2 Prohibited Uses

You agree not to use the Service for any of the following prohibited activities:

  • Any unlawful purpose or in violation of any applicable laws or regulations
  • Transmitting or storing malicious code, viruses, or harmful content
  • Attempting to gain unauthorized access to our systems or other users' accounts
  • Reverse engineering, decompiling, or attempting to extract source code
  • Using the Service to spam, harass, or send unwanted communications
  • Sharing account credentials with unauthorized parties
  • Uploading content that infringes on intellectual property rights
  • Using the Service for any non-automotive repair business without authorization
  • Attempting to circumvent usage limits or security measures
  • Reselling or redistributing the Service without written permission

Violation Consequences: Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund, and we may pursue legal action for damages.

6.3 Content Standards

All content uploaded to or shared through the Service must comply with applicable laws and our content standards. Content must not contain:

  • Offensive, discriminatory, or hateful material
  • Personal information of individuals without consent
  • Copyrighted material without proper authorization
  • False or misleading information
  • Content that violates privacy rights

7. Content & Data

7.1 Your Content

You retain ownership of all content you upload, create, or share through the Service ("Your Content"). This includes:

  • Vehicle photos and videos
  • Repair notes and documentation
  • Customer communications
  • Business information and data
  • Repair estimates and invoices

7.2 License to RepairTrak

By uploading Your Content to the Service, you grant RepairTrak a limited, non-exclusive, royalty-free license to use, store, display, and transmit Your Content solely for the purpose of providing and improving the Service.

7.3 Data Backup and Recovery

While we implement regular data backup procedures, you are responsible for maintaining your own backup copies of important data. We recommend regularly exporting critical business data and maintaining offline copies.

7.4 Data Retention

We will retain Your Content for as long as your account remains active and for a reasonable period thereafter as required for business purposes or legal compliance. Upon account termination, we will delete Your Content within 90 days unless legally required to retain it longer.

Data Export: You may request an export of Your Content at any time through your account settings or by contacting support. This ensures you maintain access to your business data even if you discontinue using RepairTrak.

7.5 Customer Data Protection

You are responsible for ensuring that any customer data you collect and process through the Service complies with applicable privacy laws and regulations. This includes obtaining necessary consents for data collection and processing.

8. Privacy & Security

8.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our privacy practices.

8.2 Data Security

We implement industry-standard security measures to protect your data, including:

  • Encryption of data in transit and at rest
  • Regular security audits and assessments
  • Access controls and authentication systems
  • Network security and monitoring
  • Employee security training and background checks

8.3 Security Incident Response

In the event of a security incident that may affect your data, we will notify you promptly and provide information about the incident, steps we're taking to address it, and recommendations for protecting your account.

8.4 Customer Data Responsibilities

As a user of RepairTrak, you acknowledge that you may process personal information of your customers. You agree to:

  • Comply with all applicable privacy and data protection laws
  • Obtain necessary consents from customers for data collection
  • Maintain appropriate security measures for customer data
  • Notify customers of your privacy practices
  • Honor customer requests regarding their personal information

GDPR Compliance: If you process personal data of EU residents, you are responsible for ensuring GDPR compliance. RepairTrak provides tools to help with compliance, but ultimate responsibility rests with you as the data controller.

9. Intellectual Property

9.1 RepairTrak's Intellectual Property

The Service and all related software, technology, content, and materials are the exclusive property of RepairTrak LLC and its licensors. This includes:

  • Software code and applications
  • User interfaces and designs
  • Trademarks, logos, and branding
  • Documentation and help materials
  • Proprietary algorithms and methodologies

9.2 Limited License

Subject to these Terms, RepairTrak grants you a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes. This license does not include the right to:

  • Modify, adapt, or create derivative works
  • Reverse engineer or decompile the software
  • Remove or alter proprietary notices
  • Use RepairTrak's trademarks without permission
  • Sublicense or redistribute the Service

9.3 Trademark Usage

"RepairTrak" and related marks are trademarks of RepairTrak LLC. You may not use our trademarks without our prior written consent, except as necessary to identify RepairTrak as the provider of services you use.

9.4 Copyright Infringement

We respect intellectual property rights and expect our users to do the same. If you believe content on our Service infringes your copyright, please notify us with the following information:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location
  • Your contact information
  • A statement of good faith belief that use is unauthorized
  • A statement of accuracy and authority to act
  • Your physical or electronic signature

10. Disclaimers

10.1 Service Availability

The Service is provided on an "as is" and "as available" basis. While we strive to maintain high uptime and reliability, we cannot guarantee uninterrupted or error-free service.

No Warranties: TO THE FULLEST EXTENT PERMITTED BY LAW, REPAIRTRAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Third-Party Services

The Service may integrate with or rely on third-party services, including payment processors, SMS providers, and email services. We are not responsible for the availability, accuracy, or reliability of these third-party services.

10.3 User Content

We do not monitor, verify, or endorse user content uploaded to the Service. You are solely responsible for the accuracy, legality, and appropriateness of your content.

10.4 Business Advice

RepairTrak is a software tool and does not provide business, legal, financial, or professional advice. Any information provided through the Service is for informational purposes only and should not be relied upon for business decisions.

11. Limitation of Liability

11.1 Types of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, REPAIRTRAK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Loss of goodwill or reputation
  • Costs of procurement of substitute services

11.2 Monetary Limitation

In no event shall RepairTrak's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to RepairTrak in the twelve (12) months preceding the incident giving rise to liability.

11.3 Essential Purpose

These limitations shall apply even if RepairTrak has been advised of the possibility of such damages and even if the limited remedies fail of their essential purpose.

State Law Variations: Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you, and RepairTrak's liability will be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless RepairTrak LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Your violation of any applicable law or regulation
  • Your content or any content submitted through your account
  • Your business practices or interactions with customers
  • Any negligent or wrongful conduct by you or your employees

This indemnification obligation will survive termination of these Terms and your use of the Service.

Defense Cooperation: RepairTrak reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through your account settings
  • Contacting our support team to request account closure
  • Ceasing to use the Service (though account data may be retained)

Termination does not relieve you of any obligation to pay accrued fees or charges. No refunds will be provided for prepaid subscription fees except as required by law.

13.2 Termination by RepairTrak

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including:

  • Violation of these Terms or our policies
  • Non-payment of fees when due
  • Suspected fraudulent or illegal activity
  • Extended periods of account inactivity
  • Abuse or misuse of the Service
  • Discontinuation of the Service

13.3 Effect of Termination

Upon termination of your account:

  • Your access to the Service will be immediately revoked
  • All data associated with your account may be deleted
  • Outstanding payment obligations remain due
  • Provisions of these Terms that should survive will continue in effect

Data Recovery Period: We may retain your data for up to 90 days after termination to allow for potential account reactivation. After this period, data will be permanently deleted unless legally required to be retained longer.

14. Governing Law

14.1 Applicable Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

14.2 Jurisdiction and Venue

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Clark County, Nevada, and you hereby consent to personal jurisdiction and venue therein.

14.3 Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute through good faith negotiations. We encourage contacting our support team to resolve issues amicably.

14.4 Class Action Waiver

You agree that any dispute arising under these Terms will be resolved individually, and you waive any right to participate in class action lawsuits or class-wide arbitration.

15. Changes to Terms

15.1 Modification Rights

RepairTrak reserves the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last Modified" date at the top of these Terms
  • Notify you of material changes via email or in-app notification
  • Provide at least 30 days' notice for changes that materially affect your rights
  • Post the updated Terms on our website

15.2 Acceptance of Changes

Your continued use of the Service after any modification to these Terms constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

15.3 Version History

We maintain a history of significant changes to these Terms. You may request information about previous versions by contacting our support team.
